General
Any offer of Product for sale by MuxLab and its acceptance by Buyer as a result of any such offer, shall be governed by the General Terms and Conditions of Sale contained herein and shall constitute the entire agreement between the parties. Any modifications or changes to these conditions by way of Buyer’s purchase order or otherwise shall not be binding unless stated in the present offer or otherwise authorized in writing by MuxLab.

Prices
Prices are FCA MuxLab’s factory (nominally Montreal, Quebec, Canada) and are as quoted from MuxLab’s most up to date Price List or by quotation.
Quotations are valid for 30 days. Price Lists are subject to change without notice. Prices are exclusive of any taxes, duties, freight or other charges.

Payment Options
MuxLab requires any customer to duly complete a Credit Application Form. MuxLab may grant payment terms of 30 days from date of shipment. The granting of these terms is at the discretion of MuxLab. Otherwise payment must be by wire transfer or money order before shipment of product.

Late Payment
On accounts outstanding past the agreed payment schedule, MuxLab reserves the right to charge interest on outstanding balances, to suspend the execution of Buyer’s purchase order and/or to pass the responsibility for such account to a collection agency.

Delivery and Risk of Loss
Delivery of product in good condition by MuxLab on board a common carrier at MuxLab’s factory, shall constitute delivery to the Buyer. As of the moment product is delivered to Buyer, Buyer accepts all risks of loss, mishandling, breakage and other damages related thereto.

Short Shipment
On In order to honor short shipment claims, MuxLab must be notified of short shipments within five (5) business days of receipt of shipment.

Transportation
Transportation is the responsibility of the buyer. MuxLab can arrange for pick up by Buyer’s carrier or MuxLab, should Buyer agree, will ship by UPS ground and charge the buyer for the shipment plus a nominal fee. In the case of MuxLab prepaying the shipping charges and invoicing the buyer for said charges, these will be governed by the payment terms as mentioned in this document.

Warranty
MuxLab warrants product, of its manufacture, to be free from defective material and faulty workmanship for a period as stipulated in the products most recent specifications. MuxLab shall determine, if notice is given within the warranty period, whether product contains defective material or faulty workmanship, in which case MuxLab shall at its option, either repair, replace, or provide credit on such parts. Shipping to MuxLab is the responsibility of the Buyer. The warranty shall not apply for product improperly handled, modified, or used outside its intended application

Return of Product
No product shall be returned to MuxLab without first acquiring a Return Material Authorization (RMA) number from MuxLab. All products shall be shipped to MuxLab at Buyer’s expense. For product returned to MuxLab for return to stock a 25% restocking charge will apply.

Trade Information
Buyer agrees that all technical and marketing information including pricing information relating to product provided by MuxLab or any information communicated to the buyer as a result of the execution of a purchase order is and shall remain MuxLab’s exclusive property and constitutes its commercial secret. No information shall knowingly be passed on to companies or individuals acting directly or on behalf of those working competitively to MuxLab. Only information required by the buyer to resell MuxLab’s products can be disclosed though only within the context of these terms and applies regardless of the form in which the information is communicated or reproduced.

Indemnity
Buyer indemnifies MuxLab and its employees, agents and representatives from liability with regards to actions arising from the purchase of MuxLab products.
